Terms of Use

1. Agreement
These Terms of Use ("Terms") form a binding agreement between you and Cabildo Companies LLC, a Virginia limited-liability company with its principal place of business in Roanoke, Virginia ("Portage," "we," "us," or "our"), governing your access to and use of the Portage iOS application, the Portage website at admin.myportage.app (and successor domains), and related services (together, the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 13 years old to use Portage. If you are under 18 (or the age of majority where you live), you may use the Service only with the involvement and consent of a parent or legal guardian, who is also bound by these Terms on your behalf.
By using the Service, you represent that: (a) you meet the age requirements; (b) you have not been previously suspended or removed from the Service; and (c) your use complies with all applicable laws.
3. Your account
3.1 Creating an account
You will need an account to create memory pins, comment, save items, or interact socially. You must provide accurate information and keep it current. You may sign in using email; Apple Sign In and Google Sign In are planned additional options.
3.2 Verified email required for contributions
To create memory pins or post comments, you must verify the email address on your account. This reduces abuse and anchors each contribution to an identifiable person. If your email is not verified, you may still browse, save items, and use Portage's read-only surfaces.
3.3 One account per person
You may hold one Portage account at a time. Accounts are personal to you and may not be transferred, sold, or shared.
3.4 Credentials and security
You are responsible for maintaining the confidentiality of your credentials and for all activity on your account. Notify us immediately at support@portage.travel if you suspect unauthorized access. Portage is not liable for losses caused by unauthorized use of your account that results from your failure to protect your credentials.
3.5 Account closure
You may close your account at any time from within the app. See the Privacy Policy, Section 7, for how we handle data on account closure, including the distinction between private pins (which are deleted) and public pins (which remain as part of the shared record of the place where they were pinned, with authorship preserved unless you have requested anonymization).
4. The Service
Portage provides:
- Editorial content — destination guides, landmark entries, trip ideas, city stories, and curated imagery. This content is authored by Portage, its contributors, or sourced from public archives with appropriate attribution.
- A personal memory layer — the ability to create memory pins (text and photos) attached to real-world places, with privacy controls.
- Social features — comments, @mentions, and (where applicable) a network-based visibility layer that reads social connections from our sister product, Cour.
- Discovery and saving — browsing, searching, and saving landmarks, trips, and stories.
We may add, change, limit, or remove features at any time. We will not remove features in a way that materially diminishes the Service without reasonable notice where feasible.
5. User content
5.1 What "User Content" means
"User Content" means anything you submit to the Service: memory pins (text and photos), comments, profile information, saved item lists, reports, support correspondence, and feedback.
5.2 You own your User Content
You retain all ownership rights in your User Content. These Terms do not transfer ownership to us.
5.3 License you grant to Portage
You grant Portage the licenses described below. The scope of the license depends on the visibility you choose.
- Private content (private pins and any content visible only to you): a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and modify (for technical purposes such as formatting, resizing, or transcoding) solely to operate the Service for you. This license terminates when you delete the content or your account.
- Network content (network-visibility pins): the same license as public content (below), because the content has been shared with a real audience. You may opt to have network-only content treated as private-on-closure by marking it accordingly before account closure.
- Public content (public pins and their attached comments): a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to host, store, reproduce, modify (for technical purposes), create derivative works of (for purposes such as thumbnails, previews, and aggregated displays), publicly display, publicly perform, and distribute the content — and your authorship credit associated with it — as part of the shared record of the place where it was pinned. This license survives account closure, deletion, or deactivation. You may edit or correct your own public content at any time while your account is active, but you cannot retract it once it has entered the shared record, except through the removal mechanism described in Section 7.2.
5.4 What happens when you delete User Content or your account
- Deleting a private pin removes the database row and the associated photo in Cloudflare R2 (backup purge within 30 days).
- Deleting a public pin is not permitted by the user directly once it has been published, because the pin has entered the shared record described in Section 5.3 and Privacy Policy Section 7. If you believe a public pin should be removed for legal, privacy-harm, or safety reasons (harassment, doxxing, defamation, rights violation, court order), contact moderation@portage.travel.
- Deleting your account removes your private pins, private-scoped comments, saved items, and mute records. Public pins and the comments attached to them persist as part of the shared record, with your authorship credit preserved unless you request anonymization (by contacting moderation@portage.travel before or after closure).
- Backup retention for deleted private content is 30 days from the date of deletion, after which copies are purged.
- Distributed copies of your public content already made by other users (screen recordings, social shares, reposts to third-party platforms) are outside our control and may persist indefinitely.
5.5 Your representations about User Content
You represent and warrant that, for each piece of User Content you submit:
- You own it or have the rights necessary to grant the license in Section 5.3.
- It does not infringe anyone's intellectual property, privacy, publicity, or other rights.
- It does not violate any law or these Terms.
- If it depicts an identifiable living person other than you, you have any consents required by applicable law.
5.6 Feedback
If you send us suggestions or feedback, you agree we may use it without restriction and without compensation.
6. Acceptable use
You agree not to use the Service to:
- Post content that is illegal, harassing, threatening, defamatory, hateful, or that incites violence.
- Impersonate another person or entity, or misrepresent your affiliation with anyone.
- Post sexually explicit material, or content that sexualizes minors.
- Upload malware, exploit security vulnerabilities, or probe the Service for weaknesses without authorization.
- Scrape, crawl, or use automated means to access the Service, except for well-behaved search-engine crawlers accessing public pages in accordance with `robots.txt`.
- Bypass rate limits, authentication, or access controls.
- Resell or commercially exploit the Service or its content without our written permission.
- Interfere with other users' ability to use the Service, including by mass-reporting, brigading, or targeted harassment.
- Use the Service to collect information about other users except as the Service's features are designed to permit.
- Post content that falsely represents a location, landmark, or historical event in a way designed to deceive other users or damage the integrity of the shared record of place.
Portage reserves the right to investigate and take appropriate action — including removing content, suspending or terminating accounts, and cooperating with law enforcement — against anyone who, in our sole discretion, violates this Section.
7. Moderation
7.1 Reactive moderation
We do not pre-moderate User Content before it is published. We review content reactively, based on user reports and proactive monitoring.
7.2 Retiring or removing content
We may remove, hide, demote, or retire any User Content that we believe violates these Terms, our community standards, or applicable law — or upon a valid legal, privacy-harm, or safety request. Where feasible, we will notify the author and offer an opportunity to appeal.
7.3 Appeals
If we remove your content or suspend your account, you may appeal by replying to the notice we send or writing to appeals@portage.travel. We aim to review appeals within 30 days.
7.4 Muting and blocking
You can mute or block other users from within the app. Muted contributors' content is hidden from you; blocking is a stronger restriction that also prevents interaction.
8. Portage's intellectual property
8.1 Our content
Portage's editorial content — destination guides, landmark descriptions, trip itineraries, city stories, original photography, illustrations, maps, and the selection, arrangement, and presentation of all of the above — is owned by Portage or licensed to us, and is protected by copyright, trademark, and other laws. The "Portage" name, logo, and product design are our trademarks. You may not use them without our written permission, except as allowed by nominative fair use.
8.2 Limited license to you
We grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, in accordance with these Terms. All rights not expressly granted are reserved.
8.3 Archive and openly licensed material
Some imagery associated with editorial entries is sourced from public archives (for example, the U.S. Library of Congress, Wikimedia Commons, the U.S. National Archives and Records Administration) or other openly licensed repositories. We retain source and license information for that imagery and comply with the terms of the applicable license. Your use of that imagery through the Service is limited by both these Terms and the terms of the underlying license.
8.4 Copyright complaints (DMCA)
If you believe content on the Service infringes your copyright, send a notice containing the elements required by 17 U.S.C. § 512(c)(3) to our designated agent:

We will respond to properly submitted notices in accordance with the DMCA. We terminate accounts of repeat infringers where appropriate.
9. Third-party services and content
The Service may link to or integrate with third-party services (map providers, hosting providers, and, when shipped, Apple Sign In and Google Sign In). Your use of those services is governed by their own terms and privacy policies. Portage is not responsible for third-party services.
10. Fees
The Service is currently free to use. If we introduce paid features, we will provide clear notice and those features will be governed by additional terms presented at the time of purchase.
11. Termination and suspension
11.1 By you
You may stop using the Service or delete your account at any time.
11.2 By us
We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, created legal or operational risk for Portage or other users, or if we are required to do so by law.
11.3 Effect of termination
On termination, your right to use the Service ends immediately. The license you granted for public content under Section 5.3 survives, as do the sections of these Terms that by their nature should survive termination, including Sections 5.3–5.6, 8, 12, 13, 14, 15, and 17.
12. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied. To the fullest extent permitted by law, Portage disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
Portage does not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) defects will be corrected; or (c) editorial content is accurate, complete, or up to date.
Travel information is not professional advice. Destination guides, landmark descriptions, trips, and memory pins are provided for general informational and inspirational purposes. They are not a substitute for professional travel, safety, legal, medical, or financial advice. You are solely responsible for your travel decisions and your safety in the physical world.
Some jurisdictions do not allow the exclusion of implied warranties. In those jurisdictions, the exclusions above apply only to the extent permitted by applicable law.
13. Limitation of liability
To the fullest extent permitted by law, Portage and its officers, employees, contractors, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of the Service — whether based on contract, tort (including negligence), statute, or any other legal theory, and whether or not Portage has been advised of the possibility of such damages.
Portage's total cumulative liability to you for all claims relating to the Service in any 12-month period will not exceed the greater of: (a) the amount you paid Portage for the Service in that period (currently zero, because the Service is free); or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow these limits. In those jurisdictions, the limits apply only to the extent permitted by applicable law, and do not apply to liability for gross negligence, willful misconduct, or any liability that cannot be excluded or limited as a matter of law.
14. Indemnification
You will defend, indemnify, and hold harmless Portage and its officers, employees, contractors, agents, suppliers, and licensors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party. Portage reserves the right to assume exclusive defense and control of any matter otherwise subject to indemnification, in which case you will cooperate in asserting available defenses.
15. Dispute resolution
15.1 Informal resolution
Before filing a formal claim, you agree to contact us at disputes@portage.travel and give us 30 days to try to resolve the dispute informally.
15.2 Arbitration and class-action waiver
Any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in the City of Roanoke, Virginia. You and Cabildo Companies LLC waive the right to participate in a class, consolidated, or representative action, and waive the right to a jury trial. Small-claims-court matters and intellectual-property injunctive relief are carved out of this arbitration agreement.
You may opt out of arbitration by sending written notice within 30 days of first accepting these Terms to disputes@portage.travel with the subject line "Arbitration Opt-Out." If you opt out, disputes will be resolved in the courts identified in Section 15.3.
15.3 Governing law and venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. If arbitration does not apply to a dispute, the state and federal courts located in the City of Roanoke, Virginia will have exclusive jurisdiction, and you consent to personal jurisdiction there.
15.4 Time limit
You must bring any claim arising out of or related to the Service within one year after the claim arises, or it is permanently barred, to the extent allowed by law.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via (a) a notice on the Portage website at least 30 days before they take effect, or (b) email to the address associated with your account where we have one. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree, stop using the Service and delete your account.
17. General
- Entire agreement. These Terms, together with the Privacy Policy and any additional terms we present for specific features, are the entire agreement between you and Portage about the Service.
- Severability. If any part of these Terms is held unenforceable, the rest will remain in effect.
- No waiver. Our failure to enforce a provision does not waive our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, or sale of assets.
- No third-party beneficiaries. There are no intended third-party beneficiaries of these Terms, except as expressly stated.
- Notices. We may give notices to you by email to the address on your account, by in-app notification, or by posting on the Service. You may give notices to us at notices@portage.travel.
- Apple-specific terms. If you obtained the Portage iOS app through the Apple App Store, the following additional terms apply: these Terms are between you and Cabildo Companies LLC only, not with Apple, and Apple is not responsible for the Service or its content. Apple is a third-party beneficiary of these Terms and has the right to enforce them against you. Your use of the app must comply with the Apple Media Services Terms and Conditions and the App Store Usage Rules.
